# HMG Community Edition Software License Agreement

**Version 1.0 — Effective May 25, 2026**

**IMPORTANT — READ CAREFULLY.** By downloading, installing, or using the
HMG Community Edition binary ("Software"), You agree to be bound by this
License Agreement ("Agreement"). If You do not agree, do not download,
install, or use the Software.

## 1. Definitions

**1.1** **"Software"** means the HMG Community Edition binary executable,
associated documentation, and any updates or patches that Licensor may make
available, excluding the Open Protocol, SDKs, and documentation published
under separate open-source licenses.

**1.2** **"Licensor"** means 武汉凡尘合创科技有限公司 (Wuhan Fanchen Hechuang
Technology Co., Ltd.), also operating as HMG AI, the creator and rights
holder of the Software. Licensor is registered in Wuhan, Hubei Province,
the People's Republic of China.

**1.3** **"You" / "Your"** means the individual person, or the legal entity
on whose behalf the Software is downloaded, installed, or used. When used
in a commercial context, "You" refers to the Organization.

**1.4** **"Organization"** means a single legal entity and all of its
directly controlled subsidiaries, affiliates, divisions, and teams operating
under common governance, purchasing authority, or ownership exceeding fifty
percent (50%) of voting equity.

**1.5** **"Agent"** means any automated system, AI model, software process,
or agent framework that connects to the Software via MCP (Model Context
Protocol), HTTP, gRPC, CLI, or any other protocol or interface.

**1.6** **"External User"** means any natural person or legal entity that
is not (a) Your employee, (b) an authorized contractor directly working on
Your internal projects under a written agreement, or (c) in an academic
context, a fellow student or instructor participating in the same academic
program.

**1.7** **"Open Protocol Artifacts"** means the `hmg-protocol` crate, MCP
tool schemas, OpenAPI specification, SDKs, certification suite, and
documentation published by Licensor under the Apache License 2.0. Open
Protocol Artifacts are governed by their own license and are not subject to
this Agreement.

**1.8** **"Commercial Use"** means any use of the Software within or in
connection with a business, commercial product, revenue-generating service,
or internal operations of an Organization with more than five (5) employees.

**1.9** **"Advanced Features"** means capabilities embedded in the Software
that require a valid commercial license key or cloud token to activate,
including but not limited to: One-Shot Recall Engine, automated observation
capture and consolidation, advanced Domain Packs, and enterprise governance
features.

## 2. License Grant

**2.1 Grant of License.** Subject to Your compliance with this Agreement,
Licensor grants You a non-exclusive, non-transferable, non-sublicensable,
revocable (as set forth in Section 8) right to use the Software solely as
permitted below:

  **(a) Personal, Academic, and Non-Commercial Use.** You may install and
  run the Software on any number of machines, connect any number of Agents,
  and store any volume of memory atoms, provided such use is exclusively for
  personal projects, academic research, education, hobby development, or
  non-profit organizational purposes that do not generate direct commercial
  revenue.

  **(b) Commercial Use.** You may use the Software for commercial purposes
  within a single Organization subject to the Volume Limitation in
  Section 3(f).

**2.2 Scope.** This license grants You the right to execute the binary and
use its published APIs and interfaces as documented. It does not grant any
right to, and You may not: access, view, modify, or create derivative works
of the source code underlying the Software.

**2.3 Open Protocol Artifacts.** This Agreement does not apply to Open
Protocol Artifacts, which are separately licensed under the Apache License
2.0. You may use, modify, and distribute Open Protocol Artifacts in
accordance with that license.

## 3. Restrictions

**3.1 Reverse Engineering.** You must not reverse engineer, decompile,
disassemble, decrypt, or otherwise attempt to derive the source code,
algorithms, data structures, or internal implementation details of the
Software.

**3.2 Redistribution.** You must not redistribute, publish, sublicense,
sell, rent, lease, lend, or otherwise transfer the Software or any copy
thereof to any third party.

**3.3 Notices.** You must not remove, alter, obscure, or bypass any
copyright, trademark, license, or other proprietary notices embedded in
the Software.

**3.4 Competitive Use.** You must not use the Software, in whole or in
part, to develop, test, benchmark, or inform the development of a competing
memory, persistent context, or agent knowledge graph product or service.

**3.5 Platform Restriction.** You must not use the Software, in whole or in
part, directly or indirectly (including through wrappers, proxies, API
gateways, containers, or integration into larger systems), to provide any
of the following to External Users, whether commercially or not:

  **(a)** A managed, hosted, or shared memory service (including any
  "Memory-as-a-Service," "Memory Cloud," or similar offering).

  **(b)** A memory, persistent context, knowledge graph, or conversation
  history subsystem embedded in, or powering, any product, platform, or
  service offered or made available to External Users.

  **(c)** The memory, context, or knowledge management subsystem of a
  commercial AI agent platform, IDE, code editor, development tool,
  copilot, chatbot platform, or similar product distributed or made
  available to External Users, without a separate OEM or Platform license
  agreement with Licensor.

  **(d)** Any service, API, SDK, or interface that exposes the Software's
  memorize, recall, correction, governance, consolidation, or search
  capabilities to External Users.

  Organizations wishing to embed or distribute the Software in products or
  services offered to External Users must obtain a separate OEM or Platform

**3.6 Volume Limitation.** For Commercial Use, a single Organization may:

  **(a)** Deploy no more than **five (5) instances** of the Community Edition
  in aggregate across all servers, containers, virtual machines, development
  environments, CI/CD pipelines, and production systems worldwide.

  **(b)** Connect no more than **five (5) Agents simultaneously** per
  instance.

  **(c)** Store no more than **fifty thousand (50,000) memory atoms** across
  all instances in aggregate.

  Organizations exceeding any one of these limits must obtain Developer,
  Enterprise, or OEM licensing. For clarity: deploying six (6) instances with
  one (1) Agent each, or one (1) instance with six (6) simultaneous Agents,
  or accumulating fifty thousand and one (50,001) memory atoms, each
  individually constitutes a breach requiring commercial licensing.

## 4. Advanced Features and License Keys

**4.1 Feature Gating.** The Software contains Advanced Features that are
present in the binary but deactivated unless a valid commercial license key
or cloud authentication token is provided. Advanced Features include, but are
not limited to:

  - One-Shot Recall Engine (intent-classified single-call recall)
  - Automated observation capture and biomimetic consolidation
  - Advanced Domain Packs (software-engineering, customer-service, compliance)
  - Enterprise governance automation and policy packs
  - Advanced search quality (hybrid semantic + keyword ranking)

**4.2 License Key Restrictions.** You must not:

  **(a)** Use Advanced Features without a valid, current license key or cloud
  token issued by Licensor or an authorized reseller.

  **(b)** Attempt to bypass, circumvent, disable, or modify the edition
  gating mechanism, license key validation, or feature activation logic.

  **(c)** Share, publish, distribute, or expose license keys or cloud tokens
  to any third party.

  **(d)** Forge, modify, or generate license keys or tokens.

**4.3 Upgrade Path.** Licensor provides a natural upgrade path from
Community Edition to Developer and Enterprise editions without data loss or

## 5. Intellectual Property

**5.1 Ownership.** All right, title, and interest in and to the Software,
including without limitation all copyrights, patents, trade secrets,
trademarks, and other intellectual property rights, are and remain the
exclusive property of Licensor.

**5.2 Trade Secrets.** The Software embodies valuable trade secrets of
Licensor, including but not limited to recall ranking algorithms, intent
classification systems, memory consolidation pipelines, domain intelligence
logic, and scoring models. Unauthorized disclosure, reverse engineering, or
misappropriation of these trade secrets is strictly prohibited and may
result in legal action.

**5.3 No Implied Rights.** This Agreement does not grant You any patent
license, trademark license, copyright license, or any other intellectual
property right beyond the explicit, limited right to use the Software as
stated in Section 2.

**5.4 Trademarks.** "HMG," "HMG AI," "Holographic Memory Graph," the HMG
logo, and product edition names (Community, Developer, Enterprise) are
trademarks of Licensor. You may not use these marks to endorse or promote
products or services without prior written consent, except as necessary to
identify the Software in documentation or communications.

## 6. Audit Right

**6.1 Verification.** Licensor may request, upon thirty (30) calendar days'
written notice (including electronic notice to the email address associated
with Your download or registration), verification of Your compliance with
Sections 3.5 (Platform Restriction) and 3.6 (Volume Limitation) of this
Agreement.

**6.2 Cooperation.** You agree to provide accurate and complete deployment,
usage, and configuration information within fifteen (15) calendar days of
receiving such request. Information provided under this Section will be
treated as confidential and used solely for compliance verification.

**6.3 Remedial Action.** If an audit reveals non-compliance, You agree to
promptly either (a) cease the non-compliant use, (b) obtain the appropriate
commercial license, or (c) delete all copies of the Software, at Licensor's
election.

## 7. Disclaimers and Limitation of Liability

**7.1 No Warranty.** THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE"
WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED
TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, TITLE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE
SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR MEET YOUR REQUIREMENTS.

**7.2 No Support.** Licensor provides the Community Edition without
guaranteed support. Community support (e.g., GitHub Discussions) may be
available at Licensor's sole discretion.

**7.3 Limitation of Liability.** IN NO EVENT SHALL LICENSOR, ITS OFFICERS,
DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO
LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITY, OR GOODWILL, ARISING OUT OF OR
IN CONNECTION WITH THIS AGREEMENT OR THE SOFTWARE, REGARDLESS OF THE CAUSE
OF ACTION OR THE THEORY OF LIABILITY, EVEN IF LICENSOR HAS BEEN ADVISED OF
THE POSSIBILITY OF SUCH DAMAGES.

**7.4 Maximum Liability.** LICENSOR'S TOTAL AGGREGATE LIABILITY UNDER THIS
AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE, WHICH
IN THE CASE OF THE COMMUNITY EDITION IS ZERO (US$0.00).

## 8. Termination

**8.1 Automatic Termination.** Your license terminates automatically and
without notice if You breach any term of this Agreement.

**8.2 Effect of Termination.** Upon termination:

  **(a)** You must immediately cease all use of the Software.

  **(b)** You must delete all copies of the Software from all systems under
  Your control.

  **(c)** Sections 3.1 (Reverse Engineering), 3.4 (Competitive Use), 5
  (Intellectual Property), 7 (Disclaimers and Limitation of Liability), and
  9 (General Provisions) shall survive termination.

**8.3 No Refund.** Since the Community Edition is provided free of charge,
no refund obligations arise upon termination.

## 9. General Provisions

**9.1 Entire Agreement.** This Agreement constitutes the entire agreement
between You and Licensor regarding the Software and supersedes all prior
or contemporaneous understandings, communications, or agreements, whether
oral or written.

**9.2 Amendment.** Licensor reserves the right to update or amend this
Agreement at any time by posting the revised version at
**https://hmg1ai.com/license/community**. Continued use of the Software
after such changes constitutes acceptance of the revised terms. Material
changes will be noted in release announcements.

**9.3 Severability.** If any provision of this Agreement is held to be
invalid, illegal, or unenforceable, the remaining provisions shall continue
in full force and effect. The invalid provision shall be modified to the
minimum extent necessary to make it valid and enforceable while preserving
the parties' original intent.

**9.4 No Waiver.** Failure by Licensor to enforce any right or provision
of this Agreement shall not constitute a waiver of such right or provision.
Any waiver must be in writing and signed by Licensor.

**9.5 Assignment.** You may not assign or transfer this Agreement or Your
rights hereunder, in whole or in part, without Licensor's prior written
consent. Licensor may assign this Agreement without Your consent.

**9.6 Governing Law and Dispute Resolution.**

  **(a) Governing Law.** This Agreement shall be governed by and construed
  in accordance with the laws of the People's Republic of China, without
  regard to its conflict of law principles.

  **(b) Domestic Dispute Resolution.** For parties within the People's
  Republic of China, any dispute arising out of or in connection with this
  Agreement shall first be resolved through good-faith negotiation between
  the parties. If negotiation fails within sixty (60) days, either party
  may submit the dispute to the Wuhan Arbitration Commission (WHAC) for
  arbitration in accordance with its arbitration rules in effect at the
  time. The arbitral award shall be final and binding. The place of
  arbitration shall be Wuhan, Hubei Province, China. The language of
  arbitration shall be Chinese.

  **(c) International Dispute Resolution.** For parties outside the
  People's Republic of China, any dispute arising out of or in connection
  with this Agreement shall first be resolved through good-faith
  negotiation. If negotiation fails within sixty (60) days, either party
  may submit the dispute to arbitration under the Rules of Arbitration of
  the International Chamber of Commerce (ICC), with the seat of arbitration
  in Singapore. The language of arbitration shall be English. The arbitral
  award shall be final and binding.

**9.7 Export Compliance.** You must comply with all applicable export
control laws and regulations, including without limitation those of the
People's Republic of China and the United States of America. You must not
export, re-export, or transfer the Software to any jurisdiction or person
prohibited by applicable law.

**9.8 Data Processing.** The Community Edition operates entirely on Your
local machine. Licensor does not collect, transmit, or process Your memory
content, atom data, or agent interactions. If You choose to enable optional
anonymous usage telemetry, such data is governed by a separate Privacy
Notice at **https://hmg1ai.com/privacy**.

**9.9 Third-Party Dependencies.** The Software incorporates third-party
open-source components. All such components are licensed under permissive
licenses (MIT, Apache-2.0, BSD, or equivalent). Attributions and license
texts for these components are available at
**https://hmg1ai.com/attributions** or within the Software's
`--credits` output. Nothing in this Agreement
limits Your rights under those third-party licenses.

## 10. Acceptance

BY DOWNLOADING, INSTALLING, OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT
YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS
TERMS AND CONDITIONS.

If You are accepting on behalf of an Organization, You represent and warrant
that You have the authority to bind that Organization to this Agreement.
