XrmEmulator Commercial License Agreement

Copyright (c) 2025 XrmEmulator. All rights reserved.

This Commercial License Agreement ("Agreement") is a legal agreement between
you ("Licensee") and XrmEmulator, the copyright holder ("Licensor"), for the use
of XrmEmulator software and associated documentation ("Software").

By purchasing a license and using the Software, you agree to be bound by the
terms and conditions of this Agreement. If you do not agree to the terms of
this Agreement, do not use the Software.


1. OWNERSHIP AND LICENSE GRANT

1.1. The Software is the intellectual property of XrmEmulator and is protected
by copyright laws and international treaty provisions. XrmEmulator retains all
rights, title, and interest in and to the Software, including all intellectual
property rights therein.

1.2. Subject to the terms of this Agreement and payment of the applicable
license fee, XrmEmulator grants you a non-exclusive, non-transferable,
worldwide license to:

  (a) Use the Software for your internal business purposes;

  (b) Modify the Software source code for your own use, including but not
      limited to creating private forks and derivative works;

  (c) Deploy the Software (including any modifications) in your own
      applications, services, and infrastructure.


2. PERMITTED USES

2.1. You may modify the Software source code to suit your specific
requirements. Unlike the LGPL v3 license option, you are not required to
publish or disclose your modifications.

2.2. You may use the Software in development, testing, staging, and production
environments.

2.3. You may make backup copies of the Software for archival purposes.

2.4. You may deploy the Software as part of your applications and services,
including in containerized environments, cloud infrastructure, and CI/CD
pipelines.


3. DISTRIBUTION

3.1. You may distribute the Software (including modifications) solely as an
integrated part of your own applications and services, provided that:

  (a) The Software is not the primary value proposition of your application
      or service;

  (b) Your application or service adds substantial functionality beyond what
      the Software provides;

  (c) You include a copyright notice attributing the Software to XrmEmulator
      in your application's documentation or about section.

3.2. You may provide the Software to contractors and consultants working on
your behalf, provided they agree to terms at least as restrictive as this
Agreement.


4. PROHIBITED USES

4.1. You may NOT redistribute the Software or any derivative work as a
standalone development toolkit, library, framework, or similar product that
is designed to be used by other developers or organizations as a software
dependency or development tool.

4.2. You may NOT remove, alter, or obscure any copyright notices, trademark
notices, or other proprietary notices of XrmEmulator contained in the
Software.

4.3. You may NOT remove, disable, or circumvent any license validation
mechanisms included in the Software.

4.4. You may NOT use the Software to create a product or service that
competes directly with XrmEmulator or any other product offered by
XrmEmulator.

4.5. You may NOT sublicense, sell, lease, rent, or otherwise transfer the
Software or your rights under this Agreement to any third party, except as
expressly permitted in Section 3.

4.6. You may NOT use the Software in any manner that violates applicable
laws or regulations.


5. TERMINATION

5.1. This Agreement is effective until terminated. XrmEmulator may terminate
this Agreement immediately upon written notice if you breach any term of this
Agreement.

5.2. Upon termination, you must:

  (a) Cease all use of the Software;

  (b) Destroy or return all copies of the Software in your possession or
      control;

  (c) Remove the Software from all deployed environments within thirty (30)
      days.

5.3. Sections 1.1, 4, 6, 7, 8, 9, 10, and 11 shall survive any termination
of this Agreement.


6. DISCLAIMER OF WARRANTIES

6.1. THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS
OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

6.2. XRMEMULATOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR
REQUIREMENTS, THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR
ERROR-FREE, OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED.

6.3. YOU ASSUME THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE
SOFTWARE.


7. LIMITATION OF LIABILITY

7.1. IN NO EVENT SHALL XRMEMULATOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL,
SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO
PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, LOSS OF USE, DATA, OR PROFITS,
OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY,
WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR
OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THE SOFTWARE, EVEN IF
ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

7.2. IN NO EVENT SHALL THE TOTAL LIABILITY OF XRMEMULATOR UNDER THIS
AGREEMENT EXCEED THE AMOUNT OF LICENSE FEES ACTUALLY PAID BY YOU TO
XRMEMULATOR FOR THE SOFTWARE DURING THE TWELVE (12) MONTHS PRECEDING THE
EVENT GIVING RISE TO LIABILITY.


8. VERIFICATION

8.1. XrmEmulator reserves the right to request, no more than once per
calendar year, a written certification from you confirming that the Software
is being used in accordance with the terms of this Agreement.

8.2. You agree to provide such certification within thirty (30) days of
receiving such a request.


9. SUPPORT AND UPDATES

9.1. This Agreement does not entitle you to any support, maintenance, or
updates for the Software unless separately agreed in writing.

9.2. Any updates, upgrades, or new versions of the Software provided to you
shall be subject to the terms of this Agreement, unless accompanied by a
separate license agreement.


10. GOVERNING LAW AND JURISDICTION

10.1. This Agreement shall be governed by and construed in accordance with
the laws of Denmark, without regard to its conflict of law provisions.

10.2. Any dispute arising out of or in connection with this Agreement shall
be submitted to the exclusive jurisdiction of the courts of Denmark.

10.3. The United Nations Convention on Contracts for the International Sale
of Goods shall not apply to this Agreement.


11. GENERAL PROVISIONS

11.1. This Agreement constitutes the entire agreement between you and
XrmEmulator with respect to the Software and supersedes all prior or
contemporaneous oral or written communications, proposals, and
representations with respect to the Software.

11.2. If any provision of this Agreement is held to be invalid or
unenforceable, the remaining provisions shall continue in full force and
effect.

11.3. The failure of XrmEmulator to exercise or enforce any right or
provision of this Agreement shall not constitute a waiver of such right or
provision.

11.4. This Agreement may not be amended or modified except by a written
instrument signed by both parties.

11.5. You may not assign or transfer this Agreement or any rights or
obligations hereunder without the prior written consent of XrmEmulator.
XrmEmulator may assign this Agreement without restriction.
